A leading Commercial Bank in Bangladesh invites applications from accomplished and strategic legal professionals for the position of Legal Officer.

This leadership role is responsible for overseeing the Bank`s legal affairs, ensuring regulatory compliance, managing litigation and legal risks, providing strategic legal counsel, and working closely with the Board of Directors, Senior Management, Bangladesh Bank, regulatory authorities, and other stakeholders to uphold the highest standards of legal governance and support the Bank`s sustainable growth.

Job Responsibilities

Handle legal matters relating to banking operations, including loan documentation, recovery, litigation, and regulatory compliance.
Prepare, review, vet, and draft legal notices, contracts, agreements, deeds, affidavits, and other legal documents.
Assist in managing civil, criminal, labour, writ, and Artha Rin Adalat cases involving the Bank.
Liaise with external legal counsel, courts, Bangladesh Bank, regulatory authorities, and government agencies regarding legal matters.
Provide legal opinions and advisory support to business units and management on banking laws, regulations, and contractual issues.
Monitor litigation progress and maintain an updated database of legal cases, recovery suits, and legal documentation.
Support loan recovery initiatives by coordinating with branches, recovery teams, and external lawyers.
Ensure legal compliance with the Bank Company Act, Artha Rin Adalat Act, Negotiable Instruments Act, Labour Act, Companies Act, and Bangladesh Bank guidelines.
Conduct legal due diligence for property-related matters, securities, mortgages, and other banking transactions.
Review legal risks associated with business transactions and recommend appropriate mitigation measures.
Assist in the development, review, and implementation of legal policies, standard agreements, and internal guidelines.
Prepare legal reports, management briefs, and regulatory submissions as required.
Keep abreast of changes in banking laws, regulations, and judicial decisions affecting the Bank`s operations.
Perform any other legal and compliance-related responsibilities assigned by the Head of Legal Division or Management.

Job Requirements

Minimum 3 (three) years of professional experience in legal practice, banking legal affairs, or corporate legal services within the Legal Division of a scheduled bank or reputed financial institution.Strong experience in banking litigation, recovery, loan documentation, regulatory compliance within reputed financial institutions.Additional professional qualifications or certifications in Banking Law, Corporate Law, Compliance, Arbitration, or Corporate Governance will be considered an added advantage.Additional RequirementsComprehensive knowledge of banking laws, corporate laws, labour laws, commercial contracts, and regulatory frameworks applicable to banks in Bangladesh.Strong analytical, negotiation, advocacy, and legal drafting skills.Excellent understanding of Bangladesh Bank regulations and corporate governance requirements.Excellent command of both English and Bangla, with exceptional legal drafting and presentation skills.High ethical standards, sound judgement, and the ability to maintain strict confidentiality.Enrolment with the Bangladesh Bar Council is strongly preferred. Permission to practice in the High Court Division will receive additional weight.
