Job Description

About the Role: Omicon Group is seeking a highly experienced, strategic, and governance-driven professional to join as Group Company Secretary & Chief Governance Officer (GCS-CGO).
This is a critical leadership role that will serve as the principal advisor to the Chairman and the Board of Directors on all corporate governance, regulatory, and compliance matters. The successful candidate will support the Group`s ambitious growth, IPO readiness, and international expansion plans.
Key Responsibilities:

  • Act as the principal governance advisor to the Chairman and the Board of Directors.

  • Lead and manage Board meetings, AGMs, EGMs, and Board Committee proceedings (including agendas, minutes, resolutions, and protocols).

  • Ensure full compliance with the Companies Act 1994, the BSEC Corporate Governance Code, RJSC regulations, and all other relevant statutory frameworks.

  • Manage corporate filings, statutory records, public disclosures, and corporate governance reporting.

  • Support Group corporate restructuring, shareholding matters, capital structural changes, and governance frameworks.

  • Drive IPO readiness, fundraising transactions, due diligence, and investor-related governance.

  • Handle multi-jurisdiction regulatory coordination and international corporate documentation for cross-border entities.

  • Develop, implement, and institutionalize Group-wide governance policies and internal control frameworks.

  • Build, mentor, and lead a high-performance Company Secretariat function.

Job Requirements

Minimum 12-18 years of relevant experience in a Company Secretariat, Corporate Governance, or Regulatory Affairs leadership role.Hands-on experience with listed companies, large conglomerates, banks, or the infrastructure/energy sector is highly desirable.Deep knowledge of BSEC regulations, local corporate governance codes, and multi-jurisdiction compliance.Excellent Board advisory, stakeholder management, negotiation, and executive communication skills.
